These terms apply to restaurants and businesses that use DINEx Studio, including plans, cover fees, renewal, and cancellation.
These DINEx Studio Terms are an agreement between IV DINEx, Inc. ("DINEx") and the restaurant or business ("you") that uses DINEx Studio at studio.getdinex.com to manage its presence and reservations on DINEx. The Terms of Service and Privacy Policy also apply. If these terms conflict with the Terms of Service, these terms control for your use of Studio.
You must be authorized to act for the restaurant you register or claim. We may ask for proof and may decline or remove a claim. Many listings start from public information and AI-written descriptions; once you claim a listing, you are responsible for keeping it accurate through Studio and publishing your changes.
You agree to record reservation status honestly. Marking guests incorrectly to avoid cover fees is a breach of these terms.
When you subscribe, we send a confirmation email with these terms, your price, your start date, and your next charge date.
Payments are processed by our payment processor by card or bank account (ACH). You authorize us to charge your payment method for your plan and cover fees. If a payment fails, we will retry it. If it remains unpaid, we may suspend access to Studio and stop taking new DINEx reservations for your restaurant until the balance is paid.
If you connect another booking platform or manage availability by message, you authorize DINEx to exchange availability and reservation information with those tools. You are responsible for the settings you choose. DINEx is not responsible for errors or double bookings caused by third-party platforms or by messages that are unclear.
If you host events through DINEx, the Hosting Events and ticket refund rules in the Terms of Service apply. Your payout is the ticket revenue minus the DINEx service fee, payment processing fees, and any amount directed to the Social Fund or a cause, as shown when you create the event. We pay out after the event. If an event is canceled, buyers are refunded in full and no payout is due.
You keep ownership of your photos, videos, menus, logos, and descriptions. You give DINEx a worldwide, royalty-free, non-exclusive license to use, display, adapt, and share them to operate and promote DINEx, including on our app, websites, and social media. You confirm you have the rights to everything you upload.
Studio includes AI tools that help draft descriptions, fill in your profile, and read menus. Review AI suggestions before you publish them; you are responsible for what appears on your listing.
Studio shows statistics such as profile views, reservations, covers, and Social Fund contributions. DINEx may use aggregated, non-identifying data to improve the Platform. If you leave DINEx, we keep billing and reservation records as required by law and as described in the Privacy Policy.
These terms start when you create a Studio account and continue until you cancel or we end them. We may suspend or terminate your account for non-payment, inaccurate listings, misuse of guest data, or other breaches. When your plan ends, your listing may return to a basic community listing.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RESTAURANT INFORMATION, AVAILABILITY, MENUS, OR PRICES ARE ACCURATE. DINEX IS NOT RESPONSIBLE FOR THE FOOD, DRINKS, SERVICE, OR EVENTS PROVIDED BY RESTAURANTS OR HOSTS.
TO THE FULLEST EXTENT ALLOWED BY LAW, DINEX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID DINEX IN THE 12 MONTHS BEFORE THE CLAIM.
You agree to defend and hold harmless DINEx from claims and costs arising from your restaurant's services, events, content, use of guest data, or breach of these terms.
Disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in English, on an individual basis. These terms are governed by Delaware law. Either party may seek injunctive relief in the courts of Delaware to protect intellectual property or confidential information.
We will notify you by email or in Studio at least 30 days before material changes to these terms or your price take effect. If you do not agree, you can cancel before they apply.
