These Terms explain the rules for using DINEx to discover restaurants, book tables, invite friends, attend and host events, and buy tickets.
Please read them carefully. They include an arbitration agreement and class action waiver in Section 22.
These Terms of Service are an agreement between you and IV DINEx, Inc. ("DINEx," "we," "us"). They apply to the DINEx app, our websites, and everything you do on them (the "Platform"). Our Privacy Policy explains how we handle your information. Restaurants using DINEx Studio are also bound by the DINEx Studio Terms.
You must be at least 18 years old and able to enter a binding contract. If you use DINEx for a business, you confirm that you can bind that business.
We may suspend accounts with false information or that break these Terms.
Listings combine information from restaurants and from public sources. Restaurants can claim and edit their listings, and the community can vote for restaurants to join. Information such as hours, menus, prices, photos, and descriptions (some written with AI assistance) may be incomplete or out of date. Check with the restaurant when details matter to you.
A reservation is a request to the restaurant. The restaurant confirms, declines, or manages it. DINEx provides the technology and is not a party to your dining experience.
Restaurants record whether guests arrive. Repeated no-shows or late cancellations may limit your ability to book on DINEx.
You can invite others to a reservation and save special dates so we can remind you. Only add someone's name or phone number if they have agreed to hear from you about it. Invited guests may need the DINEx app to accept.
Some events require approval or have limited capacity. An RSVP is confirmed only when the event shows it as confirmed.
The ticket price, DINEx service fee, and any amount directed to the event, the Social Fund, or a cause are shown before you pay. Payments are processed by our payment processor. Your ticket includes a code that is checked at the door.
Tickets are non-refundable, except when an event is canceled. If an event is canceled, you receive a full refund, including the service fee.
Events are organized by their hosts or restaurants, who are responsible for running them safely and lawfully. DINEx is not the organizer unless the event says so.
To host events you must apply and be verified. Hosts must describe events accurately, follow all laws (including permits and alcohol rules), honor tickets and RSVPs, and handle their own taxes. We pay hosts their share of ticket sales after the event, minus fees and any amount directed to the Social Fund or a cause, as shown when the event is created. We may cancel events or remove hosts that break these Terms, and refund buyers.
Requests for private events are sent to the restaurant. A request is not a booking until the restaurant confirms it with you.
Restaurants pay $0.99 for each guest seated through DINEx, and $0.50 of it goes to the Social Fund. You do not pay anything extra. Your Dining Impact shows what your seated reservations have generated; it is informational and is not money owed to you. The Social Card program is in development: joining the waitlist or applying does not guarantee acceptance or any benefit, and DINEx decides eligibility under program rules that may change.
By creating an account and booking, you agree to receive transactional messages about your account, reservations, invitations, events, and tickets by email, push, SMS, or messaging apps. Marketing messages are sent only with your consent.
Some content and features use artificial intelligence. AI output may be inaccurate or incomplete and is not professional advice. Do not share passwords, payment details, or government ID numbers through AI features.
Paid features, such as tickets, are charged in US dollars through our payment processor. By paying, you authorize the charge to your payment method. Fees are non-refundable except as stated in these Terms or required by law.
Reviews, ratings, recommendations, photos, and other content you post ("User Content") stay yours. You give DINEx a worldwide, royalty-free, non-exclusive, sublicensable license to use, display, adapt, and share it to run and promote the Platform. You confirm you have the rights to post it, that it is honest, and that it does not violate anyone's rights. We may hide or remove content that breaks these Terms, including fake, defamatory, harassing, or obscene content.
We respect intellectual property and comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). To report content that infringes your copyright, send our DMCA Agent a notice that includes: your physical or electronic signature; the copyrighted work; the infringing material and where it appears (URL or description); your name, address, phone, and email; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner.

If your content was removed by mistake, you may send a counter-notice with your signature, the removed content and its location, a statement under penalty of perjury that it was removed by mistake, and your name, address, phone, and consent to the jurisdiction of the federal court for your area. We may restore the content within 10 to 14 business days unless the claimant files a court action. We terminate the accounts of repeat infringers.
The DINEx name, logo, design, software, and content are owned by or licensed to IV DINEx, Inc. You may not use them without our written permission.
The Platform works with services such as third-party sign-in, maps, payment processing, messaging, and other booking platforms. Their terms apply to your use of them. We are not responsible for them.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RESTAURANT INFORMATION, AVAILABILITY, MENUS, OR PRICES ARE ACCURATE. DINEX IS NOT RESPONSIBLE FOR THE FOOD, DRINKS, SERVICE, OR EVENTS PROVIDED BY RESTAURANTS OR HOSTS.
TO THE FULLEST EXTENT ALLOWED BY LAW, DINEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID DINEX IN THE 12 MONTHS BEFORE THE CLAIM OR $100. Some places do not allow these limits, so they may not apply to you.
You agree to defend and hold harmless DINEx and its officers, directors, employees, and agents from claims and costs (including reasonable attorneys' fees) arising from your use of the Platform, your User Content, events you host, or your breach of these Terms or anyone's rights.
Please read this section carefully. It affects how disputes are resolved.
Before starting arbitration, email privacy@getdinex.com with a description of the dispute. We will try to resolve it within 30 days.
If we cannot resolve it, disputes arising from these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in English.
YOU AND DINEX MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR REPRESENTATIVE ACTION.
Either party may bring an individual claim in small claims court, or ask a court for injunctive relief to protect intellectual property.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Where a dispute is not subject to arbitration, it will be heard in the state or federal courts located in Delaware.
You can delete your account at any time in the app settings or by contacting us. We may suspend or end your access if you break these Terms or to protect the Platform. Sections on User Content, DMCA, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution continue after termination.
We will notify you by email or in the app at least 14 days before material changes take effect. If you keep using DINEx after that, the updated Terms apply.
