Welcome to DINEx ("DINEx," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the DINEx platform, including our website, mobile application, AI assistant, Social Fund, and Social Card program (collectively, the "Platform").
By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
You must be at least 18 years old to create an account and use the Platform. By using DINEx, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
To access certain features of the Platform, you must create an account. You agree to:
DINEx reserves the right to suspend or terminate accounts that contain false information or violate these Terms.
DINEx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.
You may use the Platform to discover restaurants, make reservations, participate in the Social Fund, use the Social Card, interact with the AI assistant, and submit reviews — all subject to these Terms.
DINEx enables you to make dining reservations at participating restaurants. When you submit a reservation request, you are making a request to the restaurant, which may confirm or decline based on availability.
Repeated no-shows or late cancellations may result in restrictions on your ability to make future reservations on the Platform. Some restaurants may charge a no-show fee, which will be disclosed at the time of booking.
DINEx is a technology platform that facilitates reservations. We are not a party to the dining transaction between you and the restaurant. We are not responsible for the quality of food, service, or any disputes arising from your dining experience.
The Social Fund is DINEx's social impact program. Participating restaurants pay a per-reservation fee to DINEx, and up to 50% of those fees are allocated to the Social Fund and distributed to qualifying families or individuals.
By making reservations through DINEx, you contribute to the Social Fund indirectly through the restaurant's participation fees. You do not pay any additional amount to participate in the Social Fund.
If you believe you qualify to receive Social Fund distributions, you may apply through the Platform. Eligibility is determined by DINEx at its sole discretion based on program criteria, which may change over time. Submission of an application does not guarantee receipt of funds.
The Social Fund is subject to available funds, participating restaurants, and program capacity. DINEx makes no guarantee as to the amount or frequency of distributions.
The Social Card is a tool within the DINEx ecosystem that links your dining activity to the Social Fund. Your use of the Social Card and reservation history may be used to calculate your contribution to the fund and display your social impact within the Platform.
The Social Card is personal and non-transferable. Any misuse or attempted manipulation of the Social Card system may result in suspension of your account.
The Platform includes an AI-powered assistant to help you discover restaurants and navigate DINEx features. By using the AI assistant, you acknowledge:
Certain features of the Platform may require payment. All fees are stated in US dollars and are non-refundable unless otherwise specified or required by law.
Payments are processed by third-party payment processors. By providing payment information, you authorize DINEx and its processors to charge your selected payment method for applicable fees.
If a restaurant charges a cancellation or no-show fee, that fee is charged by the restaurant and is subject to the restaurant's own policies. DINEx is not responsible for such charges but may facilitate the transaction as a technology intermediary.
"User Content" means any reviews, ratings, photos, comments, or other materials you submit to the Platform.
By submitting User Content, you grant DINEx a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, display, and distribute your content in connection with operating and promoting the Platform.
You represent and warrant that:
User Content must not be defamatory, obscene, harassing, threatening, fraudulent, or otherwise objectionable. DINEx reserves the right to remove any content that violates these standards at its sole discretion.
DINEx respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.
If you believe that content on the Platform infringes your copyright, please send a written notice to our designated DMCA Agent with the following information:
If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to our DMCA Agent including:
Upon receipt of a valid counter-notice, we may restore the content within 10–14 business days unless the copyright owner files a court action.
DINEx will terminate the accounts of users who are found to be repeat infringers of intellectual property rights in appropriate circumstances.
You agree not to:
All content on the Platform — including the DINEx name, logo, design, software, text, graphics, and AI features — is owned by or licensed to DINEx and is protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right to use DINEx's trademarks, logos, or branding without prior written consent. Your limited license to use the Platform does not include any right to reproduce, distribute, or create derivative works from DINEx's proprietary content.
The Platform integrates with third-party services including Google Firebase, payment processors, and AI providers. Your use of those services is subject to their respective terms and privacy policies. DINEx is not responsible for the practices of third-party services.
Links to third-party websites or services do not constitute an endorsement by DINEx.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DINEx does not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We do not guarantee the accuracy of restaurant information, availability, menus, or pricing displayed on the Platform, as this information is provided by restaurants and may change without notice.
DINEx is a technology intermediary and is not responsible for the quality, safety, or legality of the food, beverages, or services provided by restaurants.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DINEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL DINEX'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DINEX IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless DINEx and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
Before initiating arbitration, you agree to contact us at privacy@getdinex.com and provide a written description of the dispute. We will attempt to resolve it informally within 30 days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English.
YOU AND DINEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
DINEx may suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including for violation of these Terms.
You may close your account at any time through the app settings or by contacting us. Upon termination, your right to use the Platform ceases immediately. Sections 9, 10, 12, 15, 16, and 17 survive termination.
We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the updated Terms.
